These Terms of Service ("Terms") govern your access to and use of the social media publishing services operated by Useful ("we," "us," or "our"), including the scheduling, publishing, and management of content on connected third-party social media accounts (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.
The Services allow the account owner to create, schedule, publish, and manage posts on the owner's own connected social media accounts, including but not limited to Facebook, Instagram, YouTube, and TikTok. The Services act as an authorized intermediary using each platform's official developer APIs.
You must be at least 18 years old and have the legal right to operate any social media account you connect to the Services. You are responsible for maintaining the security of your accounts and credentials and for all activity that occurs through your use of the Services.
You agree that you will not use the Services to:
You retain all rights to the content you publish through the Services ("User Content"). By using the Services, you grant us only the limited right to store, process, transmit, and publish your User Content as necessary to provide the Services. We do not claim ownership of User Content and do not use it to train models or serve advertising.
You are solely responsible for your User Content and for compliance with each connected platform's content policies. We may remove or suspend access to the Services for content that violates these Terms.
The Services depend on third-party platforms (Meta, Google, TikTok, and others). We do not control those platforms and are not responsible for their availability, policies, or actions, including removal of content, suspension of accounts, or changes to their APIs. Your use of those platforms remains subject to their respective terms.
The Services themselves, including software, design, and branding, are owned by Useful and protected by applicable intellectual property laws. Your connected accounts, credentials, and User Content remain yours.
Our collection and use of information is described in our Privacy Policy, which is incorporated into these Terms by reference.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT SCHEDULED PUBLICATIONS WILL ALWAYS OCCUR AT THE EXACT SCHEDULED TIME.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, USEFUL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
You agree to indemnify and hold harmless Useful from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your User Content, your violation of these Terms, or your violation of any third-party platform's terms or any applicable law.
We may suspend or terminate your access to the Services at any time for violation of these Terms. You may stop using the Services at any time. Upon termination, provisions that by their nature should survive (including Sections 4, 7, 9, and 10) shall survive.
We may update these Terms from time to time. Material changes will be reflected by the effective date above. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
